1. Regulatory Status and No Investment Advice

TruInsight (a product of SageAlpha Analytics Private Limited, "SageAlpha", "we", "us", or "our") and its founders, developers, employees, and affiliates are not registered as Research Analysts under the Securities and Exchange Board of India (Research Analysts) Regulations, 2014 ("RA Regulations"), nor as Investment Advisers under the Securities and Exchange Board of India (Investment Advisers) Regulations, 2013 ("IA Regulations").

All content, proprietary natural language processing ("NLP") sentiment models, transparency risk scores, algorithmic calculations, and historical pattern signals provided through the Platform (collectively, "Outputs") are made available strictly for informational, educational, and mathematical simulation purposes only. No Output constitutes an offer, solicitation, invitation, or recommendation to buy, sell, hold, subscribe to, or otherwise deal in any security, derivative, or financial instrument. The Platform does not provide target prices, buy/sell signals, portfolio construction, or portfolio management services of any kind. You must consult a SEBI-registered Investment Adviser, Research Analyst, or other appropriately licensed professional before making any capital market decision.

2. Nature of Output — Not Research, Not Advice, Not a Recommendation

Every score, signal, alert, and NLP-derived Output generated by the Platform is a computational artefact derived from the aggregation, pattern-matching, and sentiment classification of publicly available discussion data. Outputs are generated without reference to, and without any assessment of, any individual user's financial situation, investment objectives, risk tolerance, or suitability, and involve no element of individualised recommendation.

Outputs do not constitute "investment advice" within the meaning of Regulation 2(1)(l) of the IA Regulations, nor a "research report" or "research analysis" within the meaning of Regulation 2(1)(u) and 2(1)(v) of the RA Regulations. The Platform's function is limited to investor education and information aggregation. No Output shall be marketed, represented, construed, or relied upon by any person as a buy, sell, hold, accumulate, or avoid signal in respect of any security.

3. No Association with SEBI-Regulated Intermediaries for Advisory Purposes

SageAlpha does not permit, authorise, or knowingly enable any SEBI-registered stockbroker, mutual fund, Investment Adviser, Research Analyst, or other SEBI-regulated intermediary to reproduce, embed, white-label, redistribute, or otherwise hold out any Output as its own advice, recommendation, or research to its clients or the public. Any regulated entity found to be doing so acts entirely outside any licence, authorisation, or association granted by SageAlpha. SageAlpha reserves the right to immediately suspend such entity's access to the Platform and to report the conduct to the Securities and Exchange Board of India and any other competent regulatory authority.

4. Eligibility

By accessing or using the Platform, you represent and warrant that you are: (a) at least eighteen (18) years of age; (b) of sound mind and possess the legal capacity to enter into a binding contract under Section 11 of the Indian Contract Act, 1872; and (c) accessing the Platform from within India, or are otherwise a person to whom the Platform may lawfully be made available under Indian law. The Platform is not directed at, marketed to, or intended for use by minors or persons lacking contractual capacity, and any registration or use in violation of this Clause 4 is voidable at SageAlpha's option.

5. AI Limitations, As-Is Provision, and Data Accuracy

The Platform utilises proprietary automated NLP models to aggregate public discussion activity. You expressly acknowledge and agree that the Platform is provided on an "as is" and "as available" basis, without warranty of any kind, express or implied, save to the extent such warranty cannot lawfully be excluded under applicable Indian consumer protection law.

SageAlpha expressly disclaims all warranties regarding the accuracy, completeness, reliability, or real-time currency of Platform data, to the fullest extent permitted by law. AI models are algorithmic estimates that remain susceptible to computational anomalies (including model "hallucinations"), misinterpretation of sarcasm, irony, or context, false positives, and latency between data ingestion and public availability. Public discussions aggregated by the Platform's algorithms may themselves contain unverified rumour, speculation, or market manipulation attempts, over which SageAlpha exercises no editorial control.

A transparency score reflects the volume, sentiment, and pattern characteristics of public discussion concerning an entity, as measured by SageAlpha's proprietary models. It is a probabilistic output of a model trained on publicly available discussion data and is subject to inherent limitations, including training data bias, temporal lag between the occurrence of an event and public discussion of it, and the inherent inability of the underlying models to independently verify the factual accuracy of third-party statements analysed. A transparency score is not, and must not be treated as, an independent audit, fact-check, or corporate governance assessment of the entity concerned.

6. Explicit Risk Acknowledgement

Equity investments on the NSE and BSE carry an inherent and severe risk of capital loss. Small-cap and mid-cap securities, which are frequently subject to social-media-driven promotional activity, carry elevated volatility and governance risk. Algorithmic transparency scores and historical NLP-derived patterns do not forecast, project, guarantee, or in any manner assure future market outcomes, security prices, or corporate conduct. Your use of the Platform, and any decision made in connection with such use, is undertaken entirely at your own independent discretion and sole financial risk.
